TAKEOVER OF DEBITEL NETHERLANDS BY KPN (DECEMBER 2008)

The takeover of the Dutch debitel subsidiary by the Netherlands telecommunications group KPN, which had been announced on 23 October, was completed on 31 December 2008. For debitel AG, this transaction marked the final step in the strategic focus on the German domestic market following the successful disposal of the remaining foreign subsidiaries in previous years.

SUBMISSION OF RESTRUCTURING PLAN (NOVEMBER 2008)

On 20 November 2008, freenet AG submitted its integration plan for improved competiveness. With the acquisition of the debitel Group, the mobile service provider business had moved into the focus of the company's strategy. As well as traditional mobile communications, the area of mobile internet became also part of the core business.

COMPLETION OF THE DEBITEL ACQUISITION / CAPITAL INCREASE (JULY 2008)

The acquisition of the debitel Group by freenet AG was completed on 5 July 2008, making freenet the new owner of the debitel Group. As consideration for the acquisition of the debitel Group, freenet AG issued 32 million new bearer shares with no par value to the seller. Telco (Netherlands) Holding B.V. (previously: debitel (Netherlands) Holding B.V.), which was held by Permira funds, thus became a shareholder in freenet AG with a share of approximately 24.99 percent. The number of bearer shares with no par value consequently increased to 128,061,016.

CONTRACT FOR THE ACQUISITION OF THE DEBITEL GROUP (APRIL 2008)

On 27 April 2008, freenet AG concluded a contract for the acquisition of the debitel Group, mainly consisting of the debitel AG, TALKLINE GmbH and _dug telecom ag. The seller was Telco (Netherlands) Holding B.V. (previously: debitel (Netherlands) Holding B.V.), a holding company controlled by Permira funds. The acquisition of the debitel Group created the biggest network-independent telecommunications provider and the third biggest mobile communications provider in Germany.
