freenet AG acquires Media Broadcast Group

Büdelsdorf, 3 March 2016 – mobilcom-debitel GmbH, a wholly owned subsidiary of freenet AG, has today signed an agreement to acquire 100 per cent of the shares in Media Broadcast Group. Media Broadcast Group consists of two holding companies as well as the principal operating company, Media Broadcast GmbH, Cologne, along with further subsidiaries and equity holdings. Media Broadcast’s Satellite business unit (Media Broadcast Satellite GmbH and Media Broadcast Satellite Services GmbH) is not included in the acquisition.

The acquisition is subject to the usual approval by the anti-trust authorities. With the execution of the transaction mobilcom-debitel GmbH will provide approx. 295 million euros for business shares and a shareholder loan as well as for the repayment of bank liabilities. The transaction is expected to be completed in April 2016 at the latest.

In connection with the stake in eXaring AG, acquired in advance, the acquisition of Media Broadcast Group represents an important addition as part of freenet AG’s strategic development to become the leading digital lifestyle provider in Germany. Entering the new area of linear and internet-based television will open up the possibility for the company to diversify further within the Digital Lifestyle business and cultivate new growth potential and sources of income. In total, freenet AG expects a positive contribution to Group revenue, EBITDA and free cash flow from both transactions.
