SALE OF THE STRATO GROUP (NOVEMBER 2009)

On 19 November 2009, freenet AG concluded a contract with Deutsche Telekom AG for the sale of the STRATO Group. freenet's strategic realignment and focus on the mobile communications business meant that the hosting business was no longer receiving the strategic attention and necessary resources to realise its full potential. The transaction was completed on 31 December 2009.

CONVERSION TO REGISTERED SHARES (SEPTEMBER 2009)

Following the conversion from bearer shares into registered shares, freenet shares were first traded as such on 28 September 2009. Each bearer share was replaced by one registered share. The new securities identification number was A0Z2ZZ.

This measure had been resolved by the freenet AG Annual General Meeting on 7 July 2009.

SALE OF FREENET’S DSL BUSINESS (MAY 2009)

On 26 May 2009, freenet AG concluded a contract with the United Internet subsidiary 1&1 Internet AG for the sale of its DSL business (freenet Breitband GmbH). 1&1 Internet AG acquired all freenetDSL and freenetKomplett contracts. Customers of associated companies and of wholesale partners were not included in the acquisition and were retained by freenet. It was estimated that, at the point of technical migration, approximately 700,000 DSL contracts would be transferred to 1&1. The customer contracts were technically transferred on 30 November 2009.

With this transaction, freenet AG continued to systematically implement its strategy of focusing on mobile communications and mobile internet.
